Terms & Conditions
These Terms and Conditions describe the framework for engaging with Padu Minds — covering how our workshops and implementation services are accessed, used, and governed. We've written them to be as clear as possible, so both parties know what to expect from the working relationship.

Definitions
Throughout this Agreement, the following terms carry the meanings described below:
- "Padu Minds" / "We" / "Us" / "Our" — refers to Padu Minds, a business entity registered in Malaysia and operating from 33 Persiaran APEC, Cyberjaya, 63000 Selangor.
- "Service" — refers to any workshop, training programme, or implementation support engagement offered by Padu Minds, including but not limited to the Computer Vision Integration Workshop, AI Ethics and Governance Training, and Smart Document Processing Setup.
- "Client" / "You" — refers to the individual or organisation that engages Padu Minds for a Service.
- "Participant" — refers to individuals who attend or undergo training or workshops delivered by Padu Minds on behalf of a Client.
- "Agreement" — refers to these Terms and Conditions together with any signed engagement letter, scope of work, or service proposal.
- "Content" — refers to materials, slides, worksheets, frameworks, and documentation produced or shared during the delivery of a Service.
- "Website" — refers to the Padu Minds website accessible at https://paduminds.world.

Acceptance of Terms
By engaging Padu Minds — whether through a written agreement, a service booking, a purchase order, or by accessing our workshops and training materials — you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
Organisations engaging on behalf of their teams warrant that they have the authority to bind the organisation to these Terms, and that Participants attending services are at least 18 years of age unless otherwise agreed in writing.
If you do not agree with any portion of these Terms, we encourage you to contact us before proceeding so we can address any concerns.

Service Description
Padu Minds provides professional services in the area of AI business integration, including:
- Facilitated workshops on computer vision and its applications in operational settings
- Training programmes on AI ethics, data governance, and responsible deployment
- Implementation engagements for AI-powered document processing systems
Services are delivered primarily in Malaysia. Engagements outside Malaysia may be considered subject to separate agreement. Service availability and scheduling are subject to mutual confirmation between Padu Minds and the Client. Padu Minds reserves the right to modify, defer, or cancel a service in exceptional circumstances, with reasonable notice provided to the Client.

User Responsibilities
Clients and Participants are expected to engage with Padu Minds services in good faith and in a professional manner. This includes the following responsibilities:
- Providing accurate organisational information when booking or scoping a service
- Ensuring that Participants attend scheduled sessions with reasonable readiness and engagement
- Respecting the intellectual property of Padu Minds and other participants
- Not recording, reproducing, or redistributing session content without written permission from Padu Minds
- Informing Padu Minds of any relevant constraints or sensitivities prior to engagement commencement
- Providing timely feedback and document samples (for implementation services) as reasonably requested
Conduct that disrupts delivery, infringes on others' rights, or breaches these Terms may result in Padu Minds ending an engagement without further obligation.

Intellectual Property
All materials produced and shared by Padu Minds — including slides, frameworks, training guides, and methodologies — remain the intellectual property of Padu Minds unless otherwise agreed in writing.
Clients are granted a limited, non-exclusive, non-transferable licence to use materials delivered during an engagement for internal organisational purposes only. This licence does not permit:
- Commercial resale or redistribution of Padu Minds materials
- Modification of materials and presentation as original works
- Sharing materials publicly without attribution
Where a Client provides proprietary documents, data samples, or internal information for use in implementation services, ownership of that material remains with the Client. Padu Minds will not use such materials outside the scope of the agreed engagement.

Payment Terms
All fees are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated otherwise. Current service pricing:

- Payment is due within 14 days of invoice issuance unless otherwise agreed
- For multi-session or implementation engagements, a deposit of 50% may be required prior to commencement
- Padu Minds accepts bank transfer, online payment, and corporate purchase orders
- Late payments may attract an administrative charge of 1.5% per month on the outstanding balance
Cancellation and Rescheduling
- Cancellations made more than 14 days before a scheduled session: full refund less any incurred costs
- Cancellations made 7–14 days before: 50% refund
- Cancellations made fewer than 7 days before: no refund, though rescheduling may be discussed
- Padu Minds reserves the right to reschedule a session due to unforeseen circumstances, with a minimum 5-day notice where possible

Service-Specific Terms
Workshops and Training Programmes
- Workshops are delivered in English unless an alternative language arrangement is agreed upon in writing
- Minimum and maximum participant numbers will be indicated in the service proposal; deviations require prior discussion
- Attendance records may be maintained for purposes of completion acknowledgement
- Padu Minds does not issue formal academic qualifications; workshops provide practical knowledge and internal records of participation
Implementation Services (Document Processing Setup)
- Implementation scope will be defined in a written engagement document before commencement
- The client is responsible for providing access to relevant systems, sample documents, and a designated internal contact
- Changes to scope requested after commencement may affect timeline and pricing; these will be discussed before proceeding
- Acceptance of delivered work is based on agreed accuracy validation criteria stated in the engagement document
- Post-delivery support, if included, will be specified in duration and scope within the proposal

Disclaimers
Services are provided on a professional best-efforts basis. Padu Minds does not warrant that any specific business outcome, performance improvement, or organisational change will result from participation in a workshop or implementation engagement.
- AI tools and frameworks discussed during workshops are subject to change; Padu Minds does not warrant the continued availability or performance of third-party technologies
- Content shared in sessions reflects current knowledge and industry understanding at the time of delivery
- Padu Minds does not provide legal, financial, or regulatory compliance advice; participants should seek qualified professional guidance for such matters

Limitation of Liability
To the fullest extent permitted under Malaysian law, Padu Minds' total liability for any claim arising out of or related to a service engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
Padu Minds shall not be liable for indirect, consequential, incidental, or special damages, including but not limited to loss of profits, loss of data, or reputational harm, even if advised of the possibility of such damages.
These limitations apply to the greatest extent allowable and do not exclude liability for fraud, gross negligence, or any other liability that cannot be excluded by law.

Termination
Either party may terminate an engagement by providing written notice where the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice.
Padu Minds may terminate an engagement immediately and without further obligation if a Client or Participant engages in conduct that is disruptive, harmful, or violates applicable law.
Upon termination, fees for services already delivered remain payable. Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination of any engagement.

Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising under or in connection with these Terms shall first be referred to informal resolution through direct communication between the parties.
If a dispute cannot be resolved informally within 30 days, either party may refer the matter to mediation under the Kuala Lumpur Regional Centre for Arbitration (KLRCA) procedures before pursuing litigation.
The courts of Malaysia shall have exclusive jurisdiction over any dispute that proceeds beyond mediation.

General Provisions
- Entire Agreement: These Terms, together with any signed engagement document, constitute the complete agreement between the parties for the relevant service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure by Padu Minds to enforce any provision does not constitute a waiver of the right to enforce it in the future.
- Assignment: Clients may not assign their rights or obligations under an engagement to a third party without prior written consent from Padu Minds.
- Notices: Formal notices under these Terms should be sent to [email protected] or to the registered address of Padu Minds.
- Force Majeure: Neither party shall be held liable for delays or failure to perform caused by circumstances beyond reasonable control, including natural disasters, pandemics, or government directives.

Changes to Terms
Padu Minds may update these Terms and Conditions from time to time. When changes are made, the updated Terms will be published on our website with a revised effective date.
For ongoing engagements, material changes will be communicated directly. Continued engagement with Padu Minds services after changes are published constitutes acceptance of the updated Terms.
